YoBool LLC – Terms of Service

Effective Date: January 31st, 2025

Welcome to YoBool LLC (“YoBool,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our online platform (the “Platform”) which connects Senders (individuals or entities who need to ship parcels) with Travelers (individuals traveling who have spare baggage capacity). By creating an account or otherwise using our Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you must cease using the Platform immediately.


1. Overview of the Platform and User Roles

  1. YoBool as Intermediary
    • YoBool provides an online platform that enables Senders and Travelers to transact. YoBool does not act as a shipping carrier, freight forwarder, or courier.
    • We are not a party to the agreement between Senders and Travelers. Our role is solely to facilitate the connection and handle certain aspects of payment processing, dispute resolution support, and user verification.
  2. Senders
    • Individuals or entities who post shipping requests on the Platform, detailing the item(s) they wish to send, destination, and preferred timing.
    • Responsible for accurately describing the item(s), complying with any export or import regulations, and paying the agreed-upon fees (including YoBool’s Platform fee and any additional charges).
  3. Travelers
    • Individuals or entities who list their travel routes, dates, and spare baggage capacity.
    • Responsible for ensuring that they are lawfully permitted to transport the items, complying with all customs regulations, and delivering the items as agreed.
    • Travelers are not employees, agents, or representatives of YoBool. They are independent users of the Platform.

2. Acceptance of These Terms

  1. Eligibility

    • You must be at least 18 years of age or the age of majority in your jurisdiction to use our Platform.
    • By creating an account, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of the obligations set forth herein.
  2. Use Restrictions

    1. Restricted Regions

      • Due to U.S. and international sanctions, export-control regulations, and/or limitations imposed by our payment processor (Stripe), YoBool does not currently provide services to users or entities located in or operating from the following countries or regions:
        • Afghanistan, Belarus, Burundi, Central African Republic, Chad, Congo Republic, Crimea, Cuba, Democratic Republic of the Congo, Donetsk People’s Republic (DNR), Eritrea, Iran, Iraq, Libya, Lugansk People’s Republic (LNR), Myanmar, North Korea, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen.
      • We reserve the right to add or remove countries/regions from this list based on evolving sanctions, regulatory requirements, or payment processor restrictions.
    2. Prohibited Transactions

      • If we discover that a user is attempting to use our Platform from one of these restricted regions, or is routing transactions to/from these regions, we may suspend or terminate the account and/or cancel related bookings in accordance with our Terms of Service.
    3. Compliance with Law

      • YoBool, as a Delaware LLC, and its users must comply with applicable U.S. (and/or EU) export controls and sanctions regulations. Users also represent that they are not located in, under the control of, or a national/resident of any such restricted region.
    4. Updates

      • We will update this clause if additional jurisdictions become subject to sanctions or if our payment processor or relevant laws require broader restrictions. Any revisions will be posted with a new “Effective Date.”
  3. Updates to the Terms

    • We may modify these Terms at any time. We will post notice of modifications on the Platform or notify you via email.
    • Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.

3. Account Registration and Verification

  1. Account Creation
    • Users must create an account, provide accurate and complete information, and keep their account information updated.
    • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  2. Identity Verification
    • YoBool may require identity verification for security or compliance purposes (e.g., verifying government-issued identification).
    • Failure to comply with verification requests may result in account suspension or termination.

4. Fees, Payments, and Payouts

  1. Platform Fee
    • YoBool charges a Platform Fee of 15% of the total transaction amount paid by the Sender. This fee helps cover operational costs, including payment processing and platform maintenance.
  2. Payment Processing
    • All payments are securely processed through Stripe Connect.
    • Payment Processing Fee: Typically 2.9% + $0.30 per transaction. This amount may be adjusted by Stripe or based on your country of operation.
    • Additional Fees:
      • Additional Insurance Fee: If a Sender declares a value above $150 (or €150), additional fees may apply for insurance coverage above the default.
      • Currency Conversion Fee: If applicable, based on current market rates set by Stripe.
      • Payout Fees: Travelers may be subject to additional Stripe or banking fees when receiving funds.
      • Verification Checks or Cross-Border Fees: Additional charges may apply depending on your jurisdiction and compliance requirements.
  3. Authorization, Capture, and Cancellation
    • When a Sender books a Traveler, we authorize (but do not immediately capture) the payment. If the Traveler does not approve the booking within the specified timeframe, or if the authorization expires, the booking is canceled and the funds are released.
    • Once the Traveler approves the booking, the authorized amount is captured. This amount includes the Traveler’s earnings plus YoBool’s fees.
  4. Payout to Travelers
    • The Traveler’s earnings are held in the Traveler’s Stripe balance until YoBool confirms delivery or otherwise deems the transaction complete.
    • Manual Payouts: YoBool initiates the payout to the Traveler once the Sender confirms delivery, subject to any applicable holding policy. Travelers cannot independently trigger their own payouts from the Stripe Express dashboard unless specifically permitted by YoBool.
    • Holding Period: YoBool may hold funds for up to:
      • 2 years for U.S. accounts (in line with Stripe policy),
      • 10 days for accounts in Thailand,
      • 90 days for accounts in all other countries.
    • This holding period helps address potential disputes, fraud, or other compliance concerns.
  5. Bank Fees
    • YoBool is not responsible for any fees levied by the Traveler’s bank or payment provider.
    • YoBool may, upon request, consolidate multiple payouts to reduce per-payout fees, subject to our operational constraints.
  6. Refunds
    • Cancellation: Senders may cancel their booking any time before pickup; after pickup, no refund is available.
    • Processing Fees Non-Refundable: Stripe’s fees, YoBool’s Platform Fee, and other processing fees are generally non-refundable, except where required by law or deemed appropriate by YoBool at its sole discretion.

5. Insurance and Liability Allocation

  1. Default Coverage
    • YoBool offers a default insurance coverage of $150 (or €150) per shipment, subject to the terms and conditions outlined in our insurance policy.
  2. Additional Coverage
    • Senders who declare a shipment value above $150 (or €150) may purchase additional coverage for an extra fee.
    • YoBool’s liability is capped at the amount of declared coverage, less any applicable deductible, unless otherwise required by law.
  3. User Responsibilities
    • Senders: Must accurately declare the contents and value of the shipment. Failure to do so may void coverage.
    • Travelers: Must take reasonable care in handling shipments. Failure to adhere to local customs or airline baggage regulations can result in loss of coverage and/or account termination.
  4. Exclusions
    • Certain items (hazardous materials, perishable goods, contraband, etc.) may be excluded from coverage. For further details, consult YoBool’s insurance guidelines.

6. Dispute Resolution Between Users

  1. In-House Mediation
    • YoBool provides an internal support system to facilitate dispute resolution between Senders and Travelers (e.g., issues with delays, damage, or loss).
    • While we will make reasonable efforts to mediate disputes, YoBool is not legally obligated to resolve disputes between users, nor does it guarantee a specific outcome.
  2. YoBool’s Final Decision
    • In certain cases, YoBool may determine, in its sole discretion, how and whether to compensate or refund either party (e.g., partial refund, insurance payout).
    • By using the Platform, you agree to abide by YoBool’s determination.
  3. No Waiver of Legal Rights
    • Nothing in these Terms precludes either party from seeking legal remedies in a court of competent jurisdiction if the dispute cannot be resolved through our mediation process.

7. User Conduct and Obligations

  1. Compliance with Laws
    • You agree to comply with all applicable local, state, national, and international laws and regulations, including customs, tax, export, and import regulations.
    • You must not use the Platform for any illegal or unauthorized purpose.
  2. Accuracy of Information
    • You represent and warrant that all information you provide to YoBool (including shipping contents, identification, payment information) is truthful, accurate, and complete.
  3. Prohibited Items
    • You shall not request or carry items that violate any laws, airline regulations, or third-party rights. This includes, but is not limited to, weapons, drugs, hazardous materials, counterfeit goods, or any items restricted by applicable law.
  4. No Circumvention
    • You agree not to circumvent or manipulate the fees, structure, or payment flow of the Platform.

8. Limitation of Liability

  1. Platform Provided “As Is”
    • YoBool provides the Platform on an “as is” and “as available” basis. We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.
  2. No Liability for User Conduct
    • YoBool is not responsible for the actions or omissions of any user, including lost or damaged shipments, failure to deliver, or fraudulent behavior.
  3. Maximum Liability
    • To the fullest extent permitted by law, YoBool’s total liability to you for any claims arising out of or in connection with these Terms shall not exceed the total amount of fees you have paid to YoBool in the six (6) months preceding the event giving rise to the claim, or $150 (or €150) if no fees were paid, whichever is greater.
  4. Exclusion of Damages
    • Under no circumstances shall YoBool be liable for any indirect, incidental, consequential, or special damages, including loss of profits, goodwill, or data, arising from or related to your use of the Platform.
  5. Applicable Law Exceptions
    • Some jurisdictions do not allow the limitation of certain warranties or the exclusion/limitation of certain liabilities. The limitations above may not apply to you.

9. Disclaimers

  1. No Warranty
    • Except where required by law, YoBool disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. No Shipping Guarantee
    • We do not guarantee any delivery dates, times, or shipment integrity. Senders and Travelers assume all risks in performing the shipping transaction.
  3. Third-Party Services
    • The Platform may contain links to third-party websites or use third-party services (e.g., Stripe). We do not endorse and are not responsible for the accuracy or reliability of any third-party content or services.

10. Intellectual Property

  1. YoBool Intellectual Property
    • All content and materials on the Platform, including text, graphics, logos, icons, images, software, and trademarks, are owned by or licensed to YoBool and protected by intellectual property laws.
    • You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purposes.
  2. User-Generated Content
    • You retain ownership of any content you post or upload to the Platform. By posting, you grant YoBool a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content in connection with the Platform.

11. Termination

  1. Termination by YoBool
    • We may suspend or terminate your account or access to the Platform at any time for violation of these Terms or other lawful reasons.
  2. Termination by You
    • You may cease using the Platform at any time. However, any pending shipments or disputes must be resolved before account closure.
  3. Effect of Termination
    • Upon termination, any rights or licenses granted to you in these Terms end immediately.
    • Sections regarding limitation of liability, indemnification, intellectual property, and dispute resolution shall survive termination.

12. Governing Law and Venue

  1. Governing Law
    • These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions.
  2. Venue
    • Any disputes arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in Delaware, USA, unless otherwise mandated by applicable law.
  3. International Users
    • If you are accessing the Platform from a jurisdiction with laws or regulations that differ from Delaware, please be advised that you do so on your own initiative and are responsible for compliance with local laws.

13. Indemnification

You agree to indemnify, defend, and hold harmless YoBool, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  1. Your access to or use of the Platform;
  2. Your violation of these Terms;
  3. Your shipment content, including any misrepresentation of the parcel’s nature or value;
  4. Your interactions or disputes with other users;
  5. Your breach of any applicable laws or regulations.

14. Dispute Resolution Procedure

  1. Good Faith Negotiations
    • In the event of a dispute between you and YoBool, both parties agree to attempt resolution in good faith by contacting each other’s support representatives before taking formal legal action.
  2. Arbitration (Optional Clause)
    • Depending on your jurisdiction, you may be required to resolve disputes via binding arbitration. If you reside in a location where arbitration clauses are enforceable, then you agree to submit any dispute to binding arbitration. (Consult local counsel if you choose to include a mandatory arbitration clause.)

15. Miscellaneous

  1. Entire Agreement
    • These Terms, together with our Privacy Policy, constitute the entire agreement between you and YoBool concerning the Platform.
  2. Severability
    • If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
  3. No Waiver
    • The failure of YoBool to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  4. Assignment
    • You may not assign or transfer these Terms or any rights or obligations herein without prior written consent from YoBool. We may assign our rights and obligations without restriction.
  5. Force Majeure
    • YoBool shall not be liable for any delays or inability to perform resulting from events beyond our reasonable control, including natural disasters, government acts, strikes, or cyber-attacks.
